By accessing nuxtit.com (the “Website”), submitting any form on it, or using our services, you agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree, please do not use the Website or our services.

02 About Us

The Website is operated by Nuxt IT LLC (“Nuxt IT”, “we”, “us” or “our”). We build software that actually ships — custom web apps, mobile platforms and automation systems — delivered by a lean team of 5 senior engineers focused on your outcome, not just the code.

Our services include:

Service descriptions on the Website are for general information. The exact work we deliver for you is defined in your signed agreement.

03 Use of the Website

You agree to use the Website only for lawful purposes. You must not:

• Submit false, misleading or impersonated information.
• Send spam, automated or bulk submissions through our forms.
• Attempt to gain unauthorized access to the Website, its servers or its database.
• Upload or transmit malicious code, or interfere with the Website’s normal operation.
• Copy, scrape or republish Website content without our written permission.

To protect the Website, we limit how many submissions can be made from one IP address within a given period. We may block access for anyone who breaches these Terms.

04 Contact & Project Brief Forms

Our Contact Form and Project Brief Form let you tell us about your project. By submitting either form you confirm that:

• The information you provide is accurate and that you are authorized to share it.
• You are at least 18 years old, or have permission from a parent, guardian or employer.
• You are not sharing confidential information belonging to a third party without their permission.

05 Information We Collect

When you submit a form, we store the following in our secure database:

• Prevent spam and abuse of our forms.
• Keep records of our communication with you.

06 Email Communication

After you submit a form, we send an automatic confirmation email to the address you provided, and our team receives a notification with your submission. We may then contact you by email about your enquiry.

We will not add you to marketing newsletters without your consent. You may ask us to stop contacting you at any time.

07 Quotes & Proposals

• Budget ranges, timelines and estimates discussed before a signed agreement are non-binding.
• Written proposals are valid for 30 days from the date issued, unless stated otherwise.
• Final scope, price and schedule are set only in a signed proposal or service agreement.

08 Services & Agreements

Every project is governed by a separate written agreement (proposal, statement of work or contract). If that agreement conflicts with these Terms, the signed agreement takes priority.

To deliver on time, we rely on the client to:

• Provide content, access, credentials and feedback promptly.
• Name one point of contact who can make decisions.
• Review and approve deliverables within agreed timeframes.

Work outside the agreed scope is a change request and may affect cost and timeline. We will confirm any change in writing before starting it.

09 Fees & Payment

Depending on the engagement model in your agreement:

• Fixed price — paid in milestones, usually including an upfront deposit before work begins.
• Time & materials — invoiced periodically for hours worked at the agreed rate.
• Monthly retainer — invoiced in advance each month for reserved capacity.

Invoices are due within the period stated on the invoice. We may pause work on overdue accounts. Fees do not include third-party costs such as hosting, domains, licences or paid APIs, unless stated in your agreement.

10 Intellectual Property

A. Website Content

All content on the Website — text, graphics, logos and code — belongs to Nuxt IT or its licensors and may not be reused without permission.

B. Client Projects

Unless your agreement says otherwise, ownership of custom work we create for you transfers to you once the related fees are paid in full. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a licence to use them as part of your project. Open-source components remain under their own licences.

We may mention your company name and a general description of the project in our portfolio, unless you ask us not to in writing.

11 Confidentiality

We treat the details you share in our forms and during a project as confidential, and use them only to work with you. We are happy to sign a mutual non-disclosure agreement (NDA) before you share sensitive information.

12 Third-Party Services

The Website and our projects may use or link to third-party services (for example hosting providers, email delivery, app stores, payment gateways or fonts). We are not responsible for their content, availability or policies. Your use of them is subject to their own terms.

13 Disclaimer of Warranties

The Website is provided “as is” and “as available”. We do our best to keep it accurate and online, but we do not guarantee it will be error-free or uninterrupted. Any warranty for project work is set out only in your signed agreement.

14 Limitation of Liability

To the maximum extent permitted by law, Nuxt IT will not be liable for any indirect, incidental, special or consequential damages, including loss of profits, data or business, arising from your use of the Website or our services. Our total liability for any claim relating to a project is limited to the fees you paid us for that project in the three (3) months before the claim arose.

15 Indemnification

You agree to protect Nuxt IT from claims, losses and costs caused by your misuse of the Website, your breach of these Terms, or content and materials you provide to us that infringe someone else’s rights.

16 Termination

We may suspend or end your access to the Website if you breach these Terms. Either party may end a project as described in its agreement. Fees for work completed up to the termination date remain payable. Sections that by their nature should continue — such as intellectual property, confidentiality and limitation of liability — survive termination.

17 Governing Law

These Terms are governed by the laws of [State / Country]. Any dispute will first be discussed in good faith. If it cannot be resolved, it will be handled by the courts of [City, State / Country].

18 Changes to These Terms

We may update these Terms from time to time. The “Last updated” date at the top shows when they last changed. Continuing to use the Website after an update means you accept the revised Terms. Changes do not affect signed project agreements already in place.
